Terms of Service

1. Definitions

  • “Lohasale” or “We”: The Lohasale AI chatbot platform, owned and operated by Lohasale Co., Ltd., business registration number: [to be updated], registered address: Ha Dong, Hanoi, Vietnam.
  • “Customer” or “You”: Any individual or organization that registers for and uses Lohasale services.
  • “Service”: All software products, features, APIs and technical support provided by Lohasale, including but not limited to: AI chatbot, multi-channel conversation management, analytics, and knowledge base management.
  • “Account”: The Customer's registered account on the Lohasale platform, including login credentials and all associated data.
  • “Plan”: The Starter, Growth, Business and Enterprise tiers with different feature sets and usage limits.

2. Acceptance of Terms

By accessing, registering for, or using any part of the Lohasale Service, You confirm that You have read, understood, and agree to be bound by these Terms. If You are registering on behalf of an organization, You represent that You have the authority to bind that organization to these Terms.

If You do not agree with any provision, please discontinue use of the Service immediately.

3. Service Description

Lohasale provides a multi-channel AI chatbot platform (SaaS) to help businesses automate customer consultation and support, including:

  • AI chatbot using RAG (Retrieval-Augmented Generation) technology to answer based on your business data
  • Multi-channel integration: Zalo Official Account, Facebook Messenger, Telegram Bot, Website Widget
  • Knowledge Base management with automatic vector embedding
  • Real-time conversation system with Human Handoff capability
  • Admin dashboard, analytics and report exports
  • Multi-tenant management with data isolation

4. Account and Security

When creating an Account, You agree to provide accurate, complete and current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials and not sharing them with third parties
  • All activities conducted under your Account, even if performed by others
  • Immediately notifying Lohasale at security@lohasale.com if You detect or suspect unauthorized access

Lohasale is not liable for damages arising from your failure to secure your Account.

5. Payment and Refunds

5.1 Service Fees

  • Fees are billed monthly or annually depending on the selected plan
  • Listed prices include applicable taxes (VAT), denominated in Vietnamese Dong (VND)
  • Lohasale reserves the right to adjust pricing with at least 30 days notice via email

5.2 Payment Methods

We accept: domestic bank transfer, Visa/Mastercard, MoMo, ZaloPay, and VietQR.

5.3 Refund Policy

  • Starter plan (free): Refunds not applicable
  • Paid plans: Full refund within 7 days of payment if the Service does not meet requirements. No refunds after 7 days
  • Refund requests: billing@lohasale.com

6. Acceptable Use Policy

When using the Service, You agree NOT to:

  • Use the Service for purposes that violate Vietnamese or international law
  • Distribute content that violates public morality, incites violence, discrimination, pornography, gambling, or drug use
  • Infringe upon intellectual property rights or trade secrets of third parties
  • Deliberately attack or disrupt the system (DDoS, brute force, SQL injection, malware)
  • Collect personal information of end users without their consent
  • Send spam, unauthorized advertisements or fraudulent messages through the chatbot
  • Reverse-engineer, decompile or modify Lohasale's source code or database
  • Transfer, sublicense or resell your Account or Service access without Lohasale's written consent

Violations may result in immediate Account suspension or termination without prior notice and without refund.

7. Intellectual Property

  • All intellectual property rights in the Lohasale platform (source code, interface, algorithms, branding, logo) belong to Lohasale Co., Ltd.
  • Data uploaded by the Customer (documents, images, product content) remains the Customer's property. Lohasale only uses this data to provide the Service
  • Conversation content between the chatbot and end users belongs to the Customer. Lohasale does not use this content for AI training outside the Customer's Service scope without consent

8. Data Retention and Deletion

In compliance with Decree 13/2023/ND-CP on personal data protection:

  • Data is retained throughout the Service period
  • Upon termination, Customers have 30 days to export their data
  • After 30 days, all data (documents, conversations, configurations) will be permanently deleted and cannot be recovered
  • Certain data may be retained as required by law (accounting, tax, regulatory audit)

9. Service Updates and Changes

  • Lohasale reserves the right to update, upgrade or modify Service features to improve quality
  • For changes that materially affect Customer rights, Lohasale will provide at least 30 days notice via registered email
  • Continued use of the Service after changes take effect constitutes acceptance of those changes

10. Limitation of Liability and Disclaimers

  • The Service is provided on an “as-is” basis. Lohasale does not guarantee uninterrupted or error-free operation
  • Lohasale is not liable for AI-generated message content. Customers are responsible for reviewing, monitoring and ensuring chatbot content complies with applicable laws
  • Lohasale is not responsible for technical issues from third-party platforms (Facebook, Zalo, Telegram, Google AI)
  • Lohasale's total liability shall not exceed the total fees paid by the Customer in the 3 most recent months

11. Termination

11.1 By Customer

Customers may cancel their plan at any time. The Service will remain active until the end of the current billing cycle.

11.2 By Lohasale

Lohasale may suspend or terminate an Account immediately if the Customer violates Section 6 (Acceptable Use), fails to pay fees for more than 15 days past due, or engages in conduct that seriously affects the system or other users.

12. Force Majeure

Lohasale shall not be liable for failure to perform obligations due to force majeure events, including but not limited to: natural disasters, epidemics, war, government actions, national internet infrastructure failures, large-scale cyberattacks, or circumstances beyond reasonable control.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Socialist Republic of Vietnam
  • Disputes shall first be resolved through good-faith negotiation within 30 days
  • If no agreement is reached, disputes shall be settled by the competent People's Court in Ha Dong, Hanoi, Vietnam

14. General Provisions

  • These Terms take effect from the date You register an Account or begin using the Service
  • If any provision is deemed invalid, the remaining provisions shall remain in full force
  • The Vietnamese version is the official version. The English version is for reference only
